3. Fees and Payments
• Advance payment is required unless otherwise agreed in writing
• Agency fees cover professional services only and do not include advertising platform budgets
• Advertising budgets for platforms such as Meta or Google are paid directly by the client
• Payments once made are non refundable due to time, resources, and strategic work invested
• Delayed payments may result in temporary suspension of services
4. Client Responsibilities
To ensure effective delivery, the client agrees to:
• Provide accurate and complete business information
• Share required materials such as logos, brand assets, access credentials, and approvals on time
• Review and respond to communication promptly
• Ensure that their products, services, and business practices comply with applicable laws and regulations
Project delays caused by late submissions or approvals from the client may affect timelines.
5. Performance and Marketing Outcomes
Digital marketing performance is influenced by multiple factors including market demand, competition, audience behavior, and platform algorithms.
Aayes.in applies industry best practices, strategic planning, creative execution, and data driven optimization to achieve the best possible outcomes. While we work toward strong performance and growth, specific numerical results such as exact sales, leads, or rankings cannot be assured, as these depend on variables beyond agency control.
6. Intellectual Property
• All creative work, designs, ad copies, and digital assets remain the property of Aayes.in until full payment is received
• Upon full payment, final approved deliverables are transferred to the client for business use
• Aayes.in reserves the right to showcase completed work in its portfolio, unless a confidentiality agreement is requested in writing
7. Third Party Platforms and Services
Our services often involve the use of external platforms and tools that are owned and controlled by independent companies.
These may include, but are not limited to:
• Social media platforms such as Facebook, Instagram, LinkedIn
• Advertising networks such as Google Ads, Meta Ads
• Website hosting providers and domain registrars
• Email marketing tools, analytics software, and automation systems
Aayes.in does not own or control these platforms. Therefore:
• Platform policies, algorithms, and rules may change at any time without notice
• Ad account restrictions, suspensions, or rejections are governed by platform policies
• Platform outages, technical errors, or system failures are outside our control
• Account approvals, ad performance fluctuations, and organic reach changes depend on platform systems
We provide guidance and follow best practices, but cannot be held responsible for decisions, disruptions, or policy enforcement carried out by these third party services.
8. Limitation of Liability
Aayes.in shall not be liable for indirect, incidental, or consequential losses including loss of revenue, profits, business opportunities, or data.
Our total liability for any claim related to our services shall not exceed the amount paid to us for the specific service involved.
9. Termination of Services
Either party may terminate services through written notice.
Upon termination:
• Fees already paid remain non refundable
• Work completed up to the termination date will be delivered
• Ongoing campaigns may be paused or closed depending on the stage of work

We respect the confidentiality of our clients. Any sensitive business information shared with us will be kept private and used only for service delivery, unless disclosure is required by law.
